1. Acceptance and eligibility
These Terms of Service (“Terms”) are an agreement between you and Zyan Labs, Inc. (“Zyan,” “we,” “us,” or “our”). By accessing or using Zyan, you agree to these Terms. If you use Zyan for an organization, you represent that you are authorized to bind it. You must be at least 18 years old and legally able to enter this agreement.
2. The service
Zyan provides agency operations, website building, project and client collaboration, CRM, advertising, analytics, content, messaging, billing, and related tools. Features may be added, changed, gated, or retired over time. Some features require a paid plan, usage credits, third-party account, owner approval, or additional terms shown in the product.
3. Accounts and workspace administration
- You must provide accurate account information and protect your credentials.
- You are responsible for activity performed through your account.
- Workspace owners control membership, roles, permissions, integrations, and client access.
- You must promptly notify us of suspected unauthorized access or credential compromise.
4. Acceptable use
You may not use Zyan to:
- Violate law, third-party rights, privacy, or applicable platform policies.
- Send spam, deceptive messages, unlawful advertising, or unauthorized outreach.
- Upload malware, exploit vulnerabilities, bypass access controls, or disrupt the service.
- Access another workspace or account without authorization.
- Scrape, resell, reverse engineer, or misuse Zyan except as permitted by law or written agreement.
- Use automated or AI features without the approvals, rights, and human oversight required for the activity.
5. Your data and connected services
You retain ownership of content and data you submit or connect (“Your Data”). You grant Zyan a limited license to host, process, transmit, and display Your Data only as needed to provide, secure, and support the service. You represent that you have the rights, notices, consents, and lawful basis necessary for Zyan to process Your Data as directed.
When you connect Meta, Google, Stripe, or another provider, you authorize Zyan to act on the connected account within the permissions and controls you select. You remain subject to that provider’s terms and are responsible for spend, publishing, communications, and other actions you approve. Third-party availability and policy changes are outside Zyan’s control, and you may revoke access through Zyan or the provider.
6. Fees and paid services
Prices, plan limits, usage charges, billing intervals, and taxes are disclosed at purchase or in an order form. Unless required by law or stated otherwise, fees are non-refundable. You authorize us and our payment processor to charge the payment method on file. We may suspend paid features for overdue amounts after reasonable notice.
7. Intellectual property and feedback
Zyan and its software, design, documentation, trademarks, and service content are owned by Zyan Labs, Inc. or its licensors and protected by law. These Terms do not transfer that ownership. If you provide feedback, you allow us to use it without restriction or payment, provided we do not identify you publicly without permission.
8. Availability, suspension, and termination
We work to keep Zyan reliable but do not guarantee uninterrupted operation. Maintenance, provider outages, security events, or other circumstances may affect availability. You may stop using Zyan at any time. We may suspend or terminate access for a material breach, security risk, unlawful activity, nonpayment, or when required by law. Provisions that by their nature should survive termination will remain in effect.
9. Disclaimers and limitation of liability
To the maximum extent permitted by law, Zyan is provided “as is” and “as available” without implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. Zyan Labs, Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, business opportunities, or data, arising from use of the service. Any additional liability terms in a signed order form or enterprise agreement control over this section to the extent they conflict.
10. Indemnification
To the extent permitted by law, you will defend and indemnify Zyan Labs, Inc. and its personnel against third-party claims arising from Your Data, your use of Zyan, your breach of these Terms, or your violation of another person’s rights, except to the extent caused by Zyan’s own breach or misconduct.
11. Governing terms and changes
These Terms and any signed order form are the complete agreement for the service they cover. If a provision is unenforceable, the remaining provisions continue in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, reorganization, or sale of assets. Applicable United States law governs these Terms without regard to conflict-of-law rules. We may update these Terms; material changes will be communicated through an appropriate notice, and continued use after the effective date constitutes acceptance.
